These Terms of Service (“Terms”) govern your access to and use of the Ultimate Bundles application (the “Application” or “Service”), operated by SOLCODE (“Company”, “we”, “us”, or “our”).

By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Interpretation and Definitions

Interpretation

Words with capitalized initial letters have meanings defined under the following conditions. These definitions apply whether the terms appear in singular or plural form.

Definitions

For the purposes of these Terms:

  • Account means a unique account created for You to access and use the Service.
  • Application refers to Ultimate Bundles, the Shopify application provided by the Company.
  • Company refers to SOLCODE, 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.
  • Service refers to the Application and all related features, functionality, and services.
  • Shopify refers to Shopify Inc. and its related services and platform.
  • Subscription means any paid or free plan associated with the Service.
  • You means the individual or legal entity (such as a business) that installs or uses the Service.

2. Eligibility and Account Registration

You must:

  • Be at least 18 years old, or
  • Have the legal authority to bind a business entity,

to use the Service.

You are responsible for maintaining the confidentiality of your Shopify account credentials and for all activities that occur through your Account.

3. Description of the Service

Ultimate Bundles is a Shopify application that enables merchants to create and manage:

  • Volume discounts
  • Fixed bundles
  • Mix & match offers
  • Product-based promotional offers
  • Analytics and performance tracking

The Service operates through Shopify’s infrastructure and uses Shopify APIs and theme extensions.

4. Subscriptions, Pricing, and Payments

Free and Paid Plans

The Service may offer:

  • A free plan, and/or
  • Paid subscription plans

Pricing, billing intervals, and plan features are displayed on the Shopify App Store listing or within the Shopify admin at the time of installation.

Billing

All payments are processed by Shopify. We do not collect or store payment card information.

You agree that Shopify may charge applicable subscription fees according to your selected plan.

Changes to Pricing

We reserve the right to change pricing or plan features. Any changes will be communicated in advance through Shopify or the Service.

5. Use of the Service

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt to reverse engineer, copy, or resell the Application
  • Interfere with the operation or security of the Service
  • Circumvent usage limits or plan restrictions

We reserve the right to suspend or terminate access if misuse or abuse is detected.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.

By using the Service, you acknowledge and agree to our Privacy Policy.

7. Third-Party Services (Shopify)

The Service depends on Shopify’s platform and APIs.

We are not responsible for:

  • Shopify outages or downtime
  • Changes to Shopify APIs or policies
  • Issues caused by third-party apps, themes, or integrations

Your use of Shopify is subject to Shopify’s own terms and policies.

8. Intellectual Property

All rights, title, and interest in the Service, including:

  • Software
  • Design
  • Branding
  • Documentation

are owned by or licensed to the Company.

You are granted a limited, non-exclusive, non-transferable license to use the Service while your Subscription is active.

9. Termination

By You

You may uninstall the Application at any time through your Shopify admin.

By Us

We may suspend or terminate your access if:

  • You violate these Terms
  • Required by law
  • The Service is discontinued

Upon termination, your right to use the Service immediately ends.

10. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE”.

We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • Results from bundles or discounts will increase revenue
  • The Service will meet all business expectations

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

  • Loss of profits or revenue
  • Loss of data
  • Business interruption
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid by You for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your Shopify store content
  • Violation of these Terms or applicable laws

13. Changes to the Terms

We may update these Terms from time to time.

When we do:

  • The “Last updated” date will be revised
  • Continued use of the Service constitutes acceptance of the updated Terms

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles.
